SKB Aluminium Sdn. Bhd. is a
subsidiary of Sin Kean Boon Group Berhad, Sin Kean
Boon Group Berhad was incorporated in Malaysia on June 1991 and later
converted into a public company on 8 April 1993. The principal activities of the company are the manufacture
and supply of architectural aluminium extrusions for building
development and renovation work. Such as
flats, condominiums, factories, hotels, commercial complexes,
highrise office buildings and engineering products for other
industries.
Listed on :
KLSE (Second Board) on 20.1.1994.
Incorporated : On
20.6.1991 in Malaysia as a private limited company;
converted into a public company on 8.4.1993.
Change of name :
From Sin Kean Boon Group Sdn Bhd to present form on
conversion.

Background
The Company (SKB) began operations as
an investment holding company in 1993, when it implemented a
restructuring scheme to acquire several companies involved
in the roller shutters and aluminium extrusions industries.
Approx. 35% of the Group's production of
aluminium extrusions is exported; 60% of the storage racking
system is exported to the Asia Pacific Region and the Middle
East; 90% of the roller shutters and the metal fabrication
products for building materials and steel doors are sold
locally.
The annual production capacity of the
Group's products is 15,000 m/t of aluminium extrusions;
250,000 sq m of roller shutters; 8,000 m/t of the steel
storage racking system; 8,000 m/t of steel fabrication
products for building materials; 70,000 sq m of steel doors
and 400,000 units of door frames.

Principal Activities
Company - investment holding. Group - manufacture and
sale of roller shutters, steel doors and frames and storage
racking system; manufacture of aluminium extrusions and
other aluminium and steel related products.

Barring any unforeseen circumstances, the
Directors anticipate the performance for the year ending
31/12/1999 to remain profitable.

Changes in Audit Committee
Mr Sin Kheng Chuan will resign as
Director and Managing Director of the Company effective from
30/9/1999. Accordingly he shall also cease to be a member of
the Audit Committee effective from 30/9/1999.

Rescission of purchase of land
In reply to the Exchange’s query on
25/6/99, the Co informed that Atlantic Structures S/B’s
decision not to proceed with the purchase of industrial land
at Bukit Minyak Industrial Park are due to the fol reasons :
- The prop project that require the utilisation of the
industrial land has been aborted due to the economic
slowdown in Malaysia and the surrounding region; and
- The high fin holding cost in proceeding with the
purchase of the land.

Mr Iwao Yamauchi has been appointed Alt
Dir Mr Hiroshi Takayama and Mr Yang, Hsuan-Ming has been
appointed Alt Dir to Mr Chen, Chiu-Hua and Mr Chen, Sheng-Hung
has been appointed Alt Dir to Mr Chen, Mei Long effective
15/6/99.
Mr Chen, Mei Long has resigned as
Chairman of the Board on 15/6/99, but he remains as a Dir of
the Co.
Rescission of purchase of
land
Atlantic Structures S/B, a wholly-owned
subs of a wholly-owned subs of the Co, has decided not to
proceed with the purchase of 12 acres of industrial land at
Bukit Minyak Industrial Park.

Disp of shares by subst s/holders
Shin Yen Textile Co Ltd has disp of its
100% equity in Shin Yen (BVI) Corp (a subst s/holder holding
4,697,658 shares or 26.1% of the Co) to Mr Wang Yen Sung. Mr
Wang will now hv 4.76% direct int and 26.1% indirect int in
the Co.
The fol persons are deemed to be
interested parties :-
- Mr Chen Mei-Long, where he and his associates hold
more than 15% in Shin Yen Textile Co Ltd.
- Mr Chen Yi-Jin, where he and his associates hold more
than 15% in Shin Yen Textile Co Ltd.

Mr Tan Choo Hin has resigned as dir of the Co. He has
been appointed an alt dir to Mr Tan Soo Seng. Mr Chang,
Chih-Poing @ Chester C Chang has been appointed as dir and
Deputy Managing Dir of the Co with effect fm 7/4/99.
